Qingdao Translation Company assisted foreign clients in signing legal service contracts in Qingdao and conducting localization services.

甲方因法律服务的需要，根据《中华人民共和国律师法》、《中华人民共和国合同法》等有关法律法规的规定，聘请乙方作为甲方的常年法律顾问。甲乙双方经友好协商签订本法律顾问合同，双方共同遵照执行。
In accordance with the Law of the People’s Republic of China on Lawyers, Contract Law of the People’s Republic of China and other relevant laws and regulations, Party A employs Party B as its permanent legal adviser to meet the requirement for legal services. This Legal Counseling Contract is entered by and between both parties through friendly consultation for mutual compliance.
第一条 乙方作为甲方的顾问律师事务所，为甲方提供本合同第二条规定的法律服务（以下称“法律服务”），依法维护甲方的合法权益。
Article I As advisory law firm of Party A, Party B shall provide Party A with legal services as described in Article II below (hereinafter referred to as "legal services"), and safeguard legitimate rights and interests of Party A according to laws.
第二条 工作范围及职责　

Article II Scope of Work and Responsibilities

 Legal services to be rendered by Party B to Party A include:
乙方为甲方提供法律服务包括以下内容：
1、一般法律服务

1. General legal services
(1)法律意见的提供：为甲方提供法律咨询及调查，必要时出具法律意见书，并以传真、邮寄或电子邮件的形式向乙方递交；
(2)制作、审查法律文件：根据甲方的委托，审查、修改各类合同及其他法律文书；
(3)参与谈判：根据甲方的委托，作为甲方代理人或者协助甲方，参加其与第三方的商业谈判，保护甲方的合法权益；
(4)解决法律纠纷：根据甲方的委托，采取非诉讼的方式（调解或者协商方式）为甲方解决劳动纠纷或其与第三方的纠纷；
(5)提供法律建议：根据甲方的需要，接受甲方的委托，出席甲方的工作会议，提供法律建议；
(6)劳动仲裁：可以免费代理壹件本顾问年度内发生的劳动仲裁案件（不包括一审二审及执行）。

(1) Legal opinions: Party B shall provide Party A with legal counseling and investigation services, and when necessary, issue legal opinions to Party A in the form of facsimile, mail or E-mail;

(2) Preparation and review of legal documents: As entrusted by Party A, Party B shall review and modify various contracts and other legal documents;

(3) Participating in negotiations: As engaged by Party A as agent or coordinator, Party B shall participate in commercial negotiations between Party A and third parties to protect legitimate rights and interests of Party A;

(4) Solving legal disputes: As entrusted by Party A, Party B shall solve labor disputes regarding Party A or other disputes with third parties by non-litigation means (mediation or consultation);

(5) Legal advice: As required and entrusted by Party A, Party B shall attend work meetings of Party A to offer legal advice;

(6) Labor arbitration: Party B may handle one case of labor arbitration (including  first instance, second instance and execution) for Party A free of charge within the advisory year.
