VII. Form of Organization, Organization, and Members (the following

(1) Form of organization
1. Instead of the board of directors, the Company has an executive
director designated by the investor and accountable thereto. Each term
of the executive director shall be three years, and he may continue to
serve his post upon expiration of his term if he is re-designated.
2. Instead of the board of supervisors, the Company has a supervisor
designated by the investor and liable for protecting the investor and
staff’s interests. Each term of the supervisor shall be three years, and
he may continue to serve his post upon expiration of his term if he is
re-designated.
3. The Company has a General Manager, whose appointment or removal shall
be determined by the executive director.
(2) Organization
1. The executive director of the wholly-funded enterprise shall be the
legal representative of the enterprise and be in full charge of
enterprise management.

department, a maintenance department, and a management department are
set up under the General Manager’s Room.

scale of the enterprise, a total number of employees are required as
temporarily determined and are to be employed in China.
