5.0契约Covenants

5.1 甲方应为乙方提供以下内容：
Party A shall provide Party B with the following:

5.1.1 甲方应从中国政府处，取得履行本协议之服务内容所需的所有执照资质和批文。
Party A shall, from the Chinese government, obtain all licenses, qualifications and approvals necessary to perform the Services contemplated under this Agreement.

5.1.2 甲方应提供履行本协议之服务内容所必需的仓库、卡车、叉车、叉车司机、工人及其他设备和资源，以满足储存、保管、运输货物的要求，以及乙方的相应要求。
Party A shall provide warehouses, trucks, forklifts, forklift drivers, workers and other equipment and resources necessary to fulfill Services under this Agreement and to meet goods storage, custody and transportation requirements and the corresponding requirements of Party B.

5.1.3 甲方应在清洁和安全的环境中，加强卡车，仓库和其他设施的维护保养。
Party A shall, in a clean and safe environment, strengthen the maintenance of trucks, warehouses and other facilities.

5.1.4 甲方对不符合中国法律和其他法律法规规定的业务，将不予执行。
Party A shall not perform any business not in compliance with Chinese laws and other laws and regulations.

5.1.5 报关报检：收到乙方提供的全套单据后，负责办理海关、国检的清关手续；
The customs clearance / inspection: Party A shall, subsequent to receipt of the full set of documents provided by Party B, be responsible for clearing customs clearance related procedures;

5.1.6 当地运输以及在中国境内使用外包或自有车辆运输货物：
Local transportation and use of outsourcing or own vehicles for transport of goods in China:
a. 负责办理押箱等手续，并代乙方缴纳港口所有费用；
Responsible for escort related procedures, and on behalf of Party B, paying all costs imposed by the port;
b. 安排自有或分包商车辆将货物托运至指定地点；
Arranging own or subcontractors’ vehicles to transport goods to designated place;

5.1.7 货物入库：
The storage of goods:
a. 收到乙方的入库指令后，及时准备库位、叉车、作业人员等，准备接货入库；
Subsequent to receipt of Party B's storage instructions, Party A shall arrange the timely preparation of storage space, forklifts and operating personnel and be ready for goods storage;
b. 根据乙方提供的货物清单及海关放行的报关单，接收货物，对外包装和数量进行检验；
Party A shall, in accordance with the list of goods provided by Party B and customs declaration issued by the customs, receive goods, inspect the external packaging and check the quantity;
c. 向送货人出具入库单；
Presenting warehousing sheet to goods delivery person;
d. 检查集装箱损坏情况，并拍照备查；
Checking for container damage, and having the conditions photographed for future reference;
e. 对外包装破损的货物，记录并拍照备查，单独存放，同时报告乙方；
Party A shall have the damaged external packaging recorded and photographed for future reference, be responsible for separate storage of same, and report same to Party B;
f. 货物入库完毕后，1个工作日内，甲方向乙方出具入库反馈单（附件二）；
Party A shall, within 1 working day subsequent to storage of the goods, issue a storage feedback form (Appendix II) to Party B;
g. 所有操作应根据双方约定的SOP严格执行；
All operations shall be strictly carried out basing on mutually agreed SOP;

5.1.8 库存管理：
Inventory management:
a. 按照货物的属性要求及安全要求，进行码垛；
Palletizing of goods in accordance with the attribute requirements and safety requirements of the goods;
b. 库房内确保消防通道畅通；
Ensuring that the fire passage in the Warehouse is unobstructed;
c. 货物标识清楚，垛位整齐；
Ensuring that the goods are clearly marked and the palletizing is tidy;
d. 货物要求库内存放，若需要室外存放，应事先征得乙方同意；
The goods shall be stored in the Warehouse and prior consent of Party B shall be obtained in case of storage outdoors;
e. 除因自然湿度过高，造成的货物发霉、受潮外，在库存期间发生的货物灭失、短缺、损坏，均由甲方承担；
Unless in the case where moldy or damp goods is caused due to high natural humidity, any loss, shortage or damage of goods occurred in the course of storage shall be borne by Party A;
f. 每月末，由甲方进行库存盘点，并将盘点结果反馈乙方；
Party A shall, at the end of each month, make an inventory of the goods and feedback the results to Party B;

5.1.9 货物出库：
Removing from the warehouse:
a. 货物需清关完毕，取得海关放行的报关单正本；
Customs clearance shall be completed for the goods and the original declarations for customs clearance shall be obtained;
b. 乙方提供双方认可的放货指令（附件三）；
Party B shall provide goods check-out instructions accepted by both parties (Appendix III);
c. 乙方或提货人负责结清应缴费用；
Party B or the picking up person shall be responsible for settlement of fees payable;
d. 甲方留存提货人的驾驶证、行车证复印件并负责货物出库装车作业；
Party A shall retain a copy of the driving license and access license of the picking up person and be responsible for the loading operations of goods;
e. 甲方出具出库单（附件四），提货人签收货物；
Party A shall issue the corresponding check-out sheet (Appendix IV) and the picking up person shall sign for the goods;
f. 甲方在货物出库后1日内，向乙方出具出库反馈单（附件五）；
Party A shall, within 1 day subsequent to check-out of goods, issue to Party B a check-out feedback form (Appendix V);

5.1.10 甲方可将本协议所述的服务分包至另一方，但甲方应对接受分包的第三方（以下简称“分包商”）提供的服务向乙方负责。
Party A may subcontract the Services described in this Agreement to a third party, but Party A shall be responsible for the services provided by such third party (hereinafter referred to as the "Subcontractor") to Party B.

5.2 乙方应向甲方提供如下内容：
Party B shall provide Party A with the following:

5.2.1 乙方保证所提供的文件和货物均是合法的。
Party B shall ensure that all documents and goods provided are legitimate.

5.2.2 乙方应在货物到达前，及时通知甲方有关货物的品名、重量、数量和到达日期等信息。
Party B shall, prior to arrival of goods, promptly notify Party A of goods related information such as the goods name, weight, quantity and date of arrival.

5.2.3 乙方向甲方提供为履行本协议第5.1.5、5.16、5.1.7、5.1.8、5.1.9条所述的服务所需的文件。
Party B shall provide to Party A with documents necessary for the provision of services described in Article 5.1.5, 5.16, 5.1.7, 5.1.8 and 5.1.9 of this Agreement.

6.0赔偿Compensation

6.1 甲方对在根据本协议提供服务时发生的，任何可归因于甲方的货物破损、短缺和其他损失，应向乙方进行赔偿。
Party A shall compensate Party B for any damage, shortage and other loss of goods that occurred in the course of providing services under this Agreement, which are attributed to Party A.

6.2 赔偿金额应根据货物实际损失确定。但不应超过甲方在青岛保税区仓库收货时向海关申报的金额。
The amount of compensation shall be determined in accordance with the actual loss of the goods, but shall not exceed the amount declared by Party A in the receipt of goods to Qingdao Bonded Zone.

7.0违约和解约Breach of Contract and Termination

7.1 发生以下情形之一或多种情形并发时，可认为是本协议项下的违约。如果违约发生，非违约方以书面形式要求违约方进行补救，而30天后违约方仍未有纠正，则非违约方有权立即解除本协议。
Under any one or more of the following circumstances, it may be deemed a default under this Agreement. The non-defaulting party may immediately terminate this Agreement if a breach occurs but the defaulting party fails to remedy the breach within 30 days subsequent to a written notice from the non-defaulting party requesting the defaulting party for a remedy.

a. 特殊原因除外，乙方未能根据本协议第4.1条，第4.2条和第4.3条的约定，向甲方支付任何款项和补偿。
Where Party B, not for a special cause, fails to make any payment or compensation to Party A pursuant to provisions of Article 4.1, 4.2 and 4.3 of this Agreement.
b. 任何一方违反或不履行本协议的任何条款和约定。
Where any party hereto breaches or fails to perform any of the terms or provisions of this Agreement.
