************（甲方）所需手机终端以及配套服务，经甲、乙双方平等友好协商达成合同如下：
Party A,
************ Co., Ltd.
and Party B, CMCC Shandong Co., Ltd. have reached a contract as follows
with regard to mobile terminals and supporting service needed by Party A
through amicable negotiation:
一、资费标准：Charging
Standard
每个手机号码自开通当月起每月最低消费38元：每月含150分钟市内主叫通话分钟数，超出按照0.19元/分钟；全国接听免费；每月含200M国内流量，超出按照0.29元/M；含来电显示功能；每月享受集团网内1000分钟通话；开通MDM手机终端管理功能。The
minimum consumption of every phone number shall be RMB 38 yuan since the
registration month: providing 150-minute local calling duration free of
charge per month, and the fee rate for the excess is RMB 0.19 yuan/min;
phone answering nationwide is free; providing 200M domestic traffic free
of charge per month, and the fee rate for the excess is RMB 0.29 yuan/M;
providing caller ID function ; providing 1000-minute call duration
within group network free of charge; launching MDMmanagement of mobile
terminals.

200 mobile terminals and 200 mobile phone cards
二、资费有效期说明：Description
on the Validity of Charging Standard
手机号码开通之日起48个月，协议到期前两个月，需甲乙双方重新约定手机资费政策，若双方无异议则继续执行原乙方向甲方提供的优惠资费政策一年；若双方存在异议，需甲乙双方共同友好协商，若协议到期前双方仍未达成一致意见，乙方有权在协议期后停止对甲方提供的优惠资费政策。The
validity period is 48 months from the registration day. Party A and
Party B shall renew agreement on charging standard of mobile phones
within two months prior to agreement expiration. Should both parties
hold no discrepancy, the original preferential agreement on charging
standard provided for Party A by Party B shall be implemented for one
year again; should both parties hold no discrepancy, Party A and Party B
shall settle the matter though amicable negotiation; should no consensus
be reached prior to the agreement expiration, Party B shall reserve the
right to terminate the preferential charging policy after the agreement
expiration.
三、手机终端保修说明Warranty
Description of Mobile Terminals
乙方向甲方按照合同约定供应手机，甲方收到乙方供货手机应现场验货，验货成功后，手机立即享受手机“三包”服务；若甲方收到乙方供货手机，在现场验货时出现异样，乙方应为甲方免费更换。Party
B shall provide Party A with mobile phones in accordance with the
stipulations of the Contract. Party A shall conduct
on-site inspection after the receipt of mobile phones supplied by Party
B and enjoy three-guarantee services immediately upon qualified
inspection; should any discrepancy in the received mobile phones be
discovered during on-site inspection, Party B shall replace
corresponding unqualified mobile phones free of charge.
三、合同金额：Contract
Value
根据双方友好协商，在乙方完全交付甲方200部手机终端并开通200个号码的前提下，甲方每月最低向乙方支付人民币****元（大写：****元）的通信费用，超过部分据实结算；在没有全部交付或开通之前，甲方按照实际产生的金额向乙方支付通信费。In
accordance with amicable negotiation between both parties, Party A shall
provide the minimum amount RMB **** yuan (in words: **** yuan in total)
as communication costs, and the excessive part shall be settled in
accordance with facts; in the case of partial delivery or registration,
Party A shall pay communication costs in accordance with actual amount.
