The liability of the members is limited to an amount unpaid on the share(s) held by the member(s).成员的责任是以其所持有的股份的未缴款额为限的。
Capital and initial shareholdings:

(a) The total number of ordinary shares that the Company proposes to issue on the Company’s formation is 10,000;
本公司在组建时拟发行的普通股的总数为10000股；
(b) The total amount of share capital to be subscribed by the Company’s founder member (s) on that formation is HKD 10,000.00;
本公司发起人在公司成立之时认购的总股本为10000港元；
(c) The amount to be paid up or to be regarded as paid up is HKD 10,000.00;
将要缴付或视为已缴付的总款额为10000港元。
The amount to remain unpaid or to be regarded as remaining unpaid, on the total number of shares that the Company proposes to issue on that formation is nil;

The regulations in the Model articles for private companies limited by shares in Schedule 2 of the Companies (Model articles) notice(Chapter 622H) shall apply to the Company save in so far as they are hereby specifically excluded or are inconsistent with the Articles herein contained. In particular, but without in any way limiting the generality of the foregoing, Articles 11, 12, 21, 22, 23, 26, 33, 39, 41, 53, 56, 63, 64 and 81 shall not apply or are modified as hereinafter appearing.
除《公司（章程细则范本）公告》（第622H章）附表2的规例在此被特别排除或与本章程细则的内容不相符外，上述规例适用于本公司。在不以任何方式限制前文一般性的原则下，上述细则第11、12、16、21、22、23、26、28、33、39、41、53、56、63、64及81条将不适用或如下文所示修改。
If the directors refuse to register a transfer they shall within two months after the date on which the transfer was lodged with the Company, send to the transferee notice of the refusal.
董事如拒绝登记转让，须在有关的转让文书提交本公司的日期后两个月内，将一份拒绝登记的通知书送交受让人。
